for listings and advertisements in the Matera-Guide directory · Version: 13 September 2026
§ 1 Scope and provider
(1) These General Terms and Conditions (GTC) apply to all contracts for paid listings and advertisements in the directory of the website www.matera-guide.com (hereinafter “Matera-Guide”).
(2) The provider and contracting party is Stefan Rudolph, Kreuzstraße 10a, 40699 Erkrath, Deutschland (hereinafter the “operator”). Further contact details can be found in the legal notice.
(3) The offer is directed exclusively at entrepreneurs within the meaning of § 14 BGB, i.e. natural or legal persons and partnerships with legal capacity who, when concluding the contract, act in the exercise of their commercial or independent professional activity. By placing the order, the customer confirms that they are acting as an entrepreneur. No contracts are concluded with consumers.
(4) Deviating, conflicting or supplementary terms and conditions of the customer shall not become part of the contract unless the operator expressly agrees to their validity in text form.
§ 2 Services
(1) The operator offers businesses the opportunity to present themselves in the Matera-Guide directory with a listing. The “Basis” and “Premium” packages are available. The scope of services is set out in the package description displayed in the listing form when the order is placed.
(2) The operator owes the publication of the listing for the agreed term. A specific number of views, clicks, enquiries or bookings, a specific position in search engines or any economic success is not owed.
(3) Premium listings are displayed ahead of the other listings within their category. If there are several Premium listings in a category, the operator determines their order; there is no entitlement to first place.
(4) The operator may further develop the design, structure and technology of Matera-Guide, provided that the agreed scope of services is essentially maintained. Constant availability of the website cannot be guaranteed; brief interruptions, for example for maintenance, updates or due to faults beyond the operator's sphere of influence, are possible.
(5) Paid listings are labelled as advertisements or Premium listings, insofar as this is legally required.
§ 3 Conclusion of the contract
(1) The presentation of the packages on Matera-Guide does not constitute a binding offer.
(2) By submitting the listing form, the customer makes a binding offer to conclude a contract for the selected package. A user account on Matera-Guide is a prerequisite.
(3) The operator reviews every submitted listing. The contract is concluded when the operator declares acceptance in text form, at the latest upon sending the invoice, and in the case of the free trial month (§ 5a) upon activation of the listing.
(4) The operator is not obliged to accept listings and may reject them without giving reasons. The customer incurs no costs for rejected listings.
§ 4 Prices and payment
(1) The prices stated in the listing form at the time of the order apply. All prices are exclusive of the statutory VAT applicable at the time.
(2) The price applies to the entire term and is payable in advance. The customer receives an invoice by e-mail. The invoice amount is payable without deduction within 14 days of the invoice date.
(3) The listing is activated after receipt of payment. If payment is not received on time, the operator may withdraw from the contract after an unsuccessful payment reminder; the listing will then not be published.
§ 5 Term and end of the contract
(1) The term is one month. It begins upon receipt of payment.
(2) The contract ends automatically upon expiry of the term. Notice of termination is not required; there is no tacit renewal. The operator may offer the customer a renewal before expiry; such renewal only comes into effect if the customer expressly agrees.
(3) The customer may withdraw their listing at any time via “My Listings”. In this case, there is no entitlement to a pro rata refund of the price already paid.
(4) The right of both parties to extraordinary termination for good cause remains unaffected. Good cause for the operator exists in particular if the customer fails to remove unlawful content despite being requested to do so or materially breaches § 6. If the operator terminates for good cause for which the customer is responsible, the price paid will not be refunded.
§ 5a Free trial month
(1) The “Basis” package can be tested free of charge for one month. The trial listing includes the services of the “Basis” package.
(2) The free trial month begins when the operator activates the listing and ends automatically after one month. It is not extended and does not convert into a paid package. Notice of termination is not required; no costs are incurred for the free trial month, and no payment details are requested.
(3) The operator reminds the customer by e-mail in good time before the end of the free trial month. If the customer wishes to keep the listing thereafter, they may book the “Basis” or “Premium” package; §§ 3 to 5 apply in this respect. The details entered during the trial can be carried over.
(4) The free trial month may be used only once per business, including across different user accounts. The operator may reject or terminate the trial listing if this requirement is not met or if there is a reason under § 5(4).
(5) The customer may withdraw the trial listing at any time via “My Listings”. The operator may discontinue the free trial month offer for future orders at any time; free trial months already running remain unaffected.
§ 5b Property listings
(1) In the “Property” section, customers can offer property for sale or to rent. Like all listings (§ 1 (3)), property listings are open to businesses only, such as estate agents, developers or companies selling or letting their own property; listings from private individuals are not accepted. The “Basis” and “Premium” packages apply, with the services set out in the package description.
(2) The operator is not an estate agent. Matera-Guide only provides advertising space. The operator does not broker contracts, does not introduce opportunities to conclude contracts, takes no part in negotiations and receives no commission – neither from the advertiser nor from the interested party. Contracts concerning the properties offered are concluded solely between advertiser and interested party.
(3) The customer alone is responsible for the accuracy and completeness of the details, in particular price, floor areas and the energy class stated in the energy certificate (Attestato di Prestazione Energetica). The statutory information required in commercial advertisements remains the customer’s obligation.
(4) The operator forwards enquiries from interested parties via the listing’s contact form to the email address provided by the customer. This address is not published.
(5) § 5 applies to the term and end of property listings: they too end automatically when the term expires, without notice and without tacit renewal. The free trial month (§ 5a) is not offered for property listings.
§ 6 Customer content
(1) The customer alone is responsible for texts, images, contact details and all other information in their listing. The customer ensures that the information is accurate and up to date, in particular the address, opening hours and prices.
(2) The customer warrants that they hold the necessary rights to all content transmitted, in particular copyrights, trade mark rights and personality rights, and that persons depicted have consented to publication.
(3) Content that violates applicable law or the rights of third parties, or that is misleading, offensive, discriminatory, harmful to minors or pornographic, as well as advertising for third-party offers, is not permitted.
(4) The operator is entitled to review content prior to publication, to make minor editorial adjustments (for example spelling, shortening to the permitted length, image cropping) and to reject, block or remove impermissible content. Changes that the customer makes to their listing are likewise reviewed prior to publication.
(5) The customer shall indemnify the operator against all claims asserted by third parties against the operator on account of the content provided by the customer, including the reasonable costs of legal defence. This does not apply insofar as the customer is not responsible for the infringement.
§ 7 Rights of use
(1) For the duration of the contract, the customer grants the operator the simple (non-exclusive), non-transferable right to make the content provided publicly accessible on Matera-Guide and to adapt it technically for this purpose, for example in size, format and image section.
(2) This right also covers display in overviews, on the map and in previews when pages are shared on social networks. It ends upon the end of the contract; the operator will then remove the listing within a reasonable period.
§ 8 Liability
(1) The operator is liable without limitation in cases of intent and gross negligence, for injury to life, body or health, and under the German Product Liability Act (Produkthaftungsgesetz).
(2) In cases of simple negligence, the operator is liable only for breach of a material contractual obligation, i.e. an obligation whose fulfilment makes the proper performance of the contract possible in the first place and on whose observance the customer may regularly rely. In this case, liability is limited to the foreseeable damage typical of the contract, but not exceeding the price paid for the respective term.
(3) In all other respects, liability is excluded. This applies in particular to loss of profit and to damage caused by the temporary unavailability of the website.
§ 9 Data protection
The operator processes the customer's personal data for the purpose of reviewing, publishing and invoicing the listing. Details can be found in the privacy policy.
§ 10 Amendments to these GTC
Each contract is governed by the version of the GTC applicable at the time of the order. Renewals are governed by the version then current, to which the operator refers in the renewal offer.
§ 11 Final provisions
(1) The law of the Federal Republic of Germany applies, to the exclusion of the UN Convention on Contracts for the International Sale of Goods (CISG).
(2) If the customer is a merchant (Kaufmann), a legal entity under public law or a special fund under public law, or has no general place of jurisdiction in Germany, the exclusive place of jurisdiction for all disputes arising from this contract is the operator's place of residence.
(3) The language of the contract is German.
(4) Should any provision of these GTC be or become invalid, the validity of the remaining provisions shall remain unaffected.
